These terms and conditions together with any other terms and conditions referred to in these terms and conditions ("these Terms") provide you with information about Oxford University Press (China) Limited ("OUP", "we", "us" or "our") and the legal terms and conditions on which we sell the products ("Products") listed on our site (“Website”, at http:www.shop.oupchina.com.hk) to you.

Please note that these Terms do not apply to you if you are buying products from our other sites or products which are not listed on our Website.

Except as stated in the previous paragraph, these Terms will apply to any contract between OUP and you for the sale of Products through our Website, by telephone, by mail order, by fax or by email ("Contract").

Please read these Terms carefully and make sure that you understand them before ordering any Products.  You should print a copy of these Terms or save them to your computer for future reference.

We reserve the right to amend these Terms from time to time. We will exercise this right in accordance with clause 10. Please check these Terms each time you wish to order Products to ensure you understand the terms and conditions which will apply at that time.

1.  INFORMATION ABOUT US

1.1    We operate the Website. We are Oxford University Press (China) Limited. Our main trading address is 39/F, One Kowloon, Kowloon Bay, Hong Kong.

2.  OUR PRODUCTS

2.1    The images of the Products are for illustrative purposes only. The Products you order may vary slightly from those images.

2.2    The packaging of the Products may vary from that shown on images on our Website.

2.3    All Products shown on our Website are subject to availability. We will inform you in writing as soon as possible if the Product you have ordered is not available.

3.  ORDERS

3.1    Please note that you must be at least 18 years old before you can make any purchases from us.

3.2    By placing an order, you warrant that you have the legal authority to form a binding contract.

4.  HOW THE CONTRACT IS FORMED

4.1     These Terms constitute the entire agreement between OUP and you. You acknowledge that you have not relied on any statement, promise or representation made or given by or on behalf of OUP which is not set out in these Terms.

4.2    Orders through our Website

4.2.1If you have ordered aProduct through our Website, you will receive an acknowledgement by email fromus acknowledging that we have received your order. However, please note thatthis does not mean that your order has been accepted. Acceptance takes place onthe earlier of (a) when we charge your card for the cost of the Product, or (b)when we send you an email to inform you that your Product has been dispatched ("DispatchConfirmation").

4.3    If we are unable to supply you with a Product (for example because that Product is not in stock or no longer available), we will notify you of this by email and we will not process your order. If you have already paid for the Product, we will refund you the full amount as soon as possible.

5.  CANCELLATION OF CONTRACT

5.1    You agree and accept that under no circumstances will we accept cancellation of order or refund once the order has been placed. If the merchandise delivered is not what was ordered or is defective we may at our option replace it.

6.  DELIVERY, POSTAGE AND PACKAGING

6.1. Delivery of the Products will be made to you by SF Express courier service unless otherwise agreed. Details of our delivery policy may be found here(https://shop.oupchina.com.hk/pages/shipping-policy).

6.2. Where a delivery charge applies, it will be payable at the point of delivery. You agree and accept that you will settle the delivery charges by cash on each delivery for every order directly to SF Express personnel who delivers the merchandise. Delivery charge will be in accordance with SF Express regulations (http://www.sf-express.com) at the time of receipt. We are entitled, at our option, to charge you additional costs or cancel your order without any refund or compensation to you in the event of your failure to accept delivery for any reason.

7.  PRICE OF PRODUCTS

7.1    The prices of the Products will be as set out on our Website from time to time. We use reasonable endeavours to ensure that the prices of Products are correct at the time when the relevant information was entered onto the system. However if we discover an error in the price of Product(s) you ordered, please see clause 7.3 for what happens in this event.

7.2    The price of a Product does not include delivery charges. See clause 6 for more information.

7.3   Our Website and catalogues contain a large number of Products. It is always possible that, despite our efforts, some of the Products may be incorrectly priced. If we discover an error in the price of the Products we will process your order and invoice you at the correct price. You will be entitled to a full refund if you decide you wish to return the Products.

8.  HOW TO PAY

8.1    You can pay for Products via Shopify Payments. Visa and Mastercard are accepted.

8.2    Payment for the Products is in advance and may take place before your order is dispatched.

9.   EVENT OUTSIDE OF OUR CONTROL

9.1    We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by an Event Outside Our Control (defined in clause 9.2).

9.2    An "Event Outside Our Control" means any act or event beyond our reasonable control, including without limitation strikes, non-performance of suppliers or subcontractors, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.

9.3    If an Event Outside Our Control takes place that affects the performance of our obligations under a Contract, we will contact you as soon as reasonably possible to notify you; and our obligations under a Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. Where the Event Outside Our Control affects our delivery of Products to you, we will arrange a new delivery date with you after the Event Outside Our Control is over.

10.   OUR RIGHT TO VARY THESE TERMS

10.1    We may revise these Terms from time to time at our discretion.

10.2    Every time you order Products from us, the Terms in force at that time will apply to the Contract between OUP and you.

10.3    Whenever we revise these Terms in accordance with this clause 10, we will keep you informed and give you notice of this by stating that these Terms have been amended and the relevant date of such amendment at the top of this page.

11.  OTHER IMPORTANT TERMS

11.1    We may transfer our rights and obligations under a Contract to another organisation, but this will not affect your rights or our obligations under these Terms.

11.2    You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

11.3    These Terms are between OUP and you. No other person shall have any rights to enforce any of its terms.

11.4    Each of the clauses of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining clauses will remain in full force and effect.

11.5    If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

11.6    If you are a consumer, please note that these Terms are governed by Hong Kong law. This means a Contract for the purchase of Products through our Website and any dispute or claim arising out of or in connection with it will be governed by Hong Kong law. You and OUP agree that the courts of Hong Kong will have non-exclusive jurisdiction.

11.7 We warrant that all merchandise sold under these Terms & Conditions will be free from major or significant defects in materials and workmanship. Subject as aforesaid and unless otherwise provided by these Terms & Conditions or separately agreed with you in writing, all warranties, conditions or other terms implied by statute or common law, including without limitation any implied warranties of merchantability and fitness for a particular purpose, are excluded to the fullest extent permitted by law.

11.8 These terms and conditions are written in English and translated into Chinese. In the event of any discrepancy or error in translation between the English and Chinese versions, the English version prevails.

12. Privacy Policy

Any personal data we collect from you during the ordering, payment, or delivery process will be held and used in accordance with our Privacy Policy. By placing an order you consent to us using the personal data you provide for the purpose of fulfilling your order, including passing such data to third party partners who form part of the payment or order fulfilment process.
